Terms and conditions of supply  
  ACCEPTANCE: the acceptance by IRISH GARDEN PLANTS of any order is on the understanding that the following terms and conditions apply:
ORDERS: orders are accepted subject to stock availability and to being unsold.
RESERVED STOCK: every endeavor will be made to supply pre-season reserved stock. However, either party can cancel them at any time without any liability.
CANCELLATION OF ORDERS: orders cancelled after acceptance will be subject to a 10% charge.
STOCK: every effort is made to ensure all plants are true to name, and free from pest, disease, virus and weeds. Liability is limited to the replacement of those plants supplied. All other claims, including those of consequential loss, are hereby excluded.
PRE-PRICING: liability for plants that are incorrectly pre-priced howsoever caused is limited solely to supplying their replacement labels. All other claims, including those of consequential loss, are hereby excluded.
SALE OR RETURN: any plants offered on sale or return, for which return is requested, will only be credited against future orders. Plants that die, or are damaged, whilst in the possession of the customer howsoever caused cannot be returned.
DAMAGE & COMPLAINTS: all consignments must be carefully examined upon delivery and any complaints notified in writing to IRISH GARDEN PLANTS within 3 days. Damaged plants must be retained for 21 days for inspection and/or uplift.
PRICES: whilst every effort is made to maintain prices as quoted in the price list, IRISH GARDEN PLANTS reserves the right to increase prices at any time.
DISCOUNTS: discounts negotiated by individual customers are only valid if the order is placed within the negotiated dates and is for immediate dispatch.
STANDARD DISCOUNTS: payment on delivery or collection will accrue a 2.5% discount.
Collection of plants by your own transport from Seaforde will accrue a 7% discount.
If the individual plants are not labeled a 5% discount will accrue
The quantity discount bands are list price (less than 12 plants per variety per order), 12 plus per variety per order and full shelf per variety (variable quantity) price per order.
CARRIAGE: carriage is included in the price provided the negotiated minimum delivery value (which excludes VAT) is attained for each separate delivery (not order). Otherwise it is charged at cost.
VAT: VAT will be levied in accordance with current legislation.
PAYMENT: all invoices must be paid in full by the 30th day of the month following invoicing.
OVERDUE ACCOUNTS: we reserve the right to charge interest on overdue accounts at up to 8% above UK bank base rate. This is not an offer to extend credit. Any account overdue may be referred to our solicitors and all the solicitor’s cost will be borne by the customer.
EXTENDED CREDIT: if extended credit is negotiated, the relevant invoice will state the date on which it is due for payment.
NEW ACCOUNTS: new customers desiring credit facilities are asked to complete a credit application form. Otherwise all plants will only be released after payment of a pro forma invoice.
RESERVATION OF TITLE: All plants dispatched remain the property of IRISH GARDEN PLANTS until the invoice has been paid. The customer specifically agrees that IRISH GARDEN PLANTS or his agent can enter the customer’s premises and remove any plants supplied but not paid for.
VARIATIONS: no variation, waiver or addition to these conditions is binding unless agreed by IRISH GARDEN PLANTS in writing.
REGULATION: the laws of Northern Ireland regulate this agreement. January 2005.
